If file 8832, your LLC will have the tax benefits and taxation of a corporation. Income is not passed to you. You would rather just pay yourself.

🤔 will this work with investors who own a percentage of your business? If you agreed to a certain percent of llc1, will you have to pay them a percentage of the other LLC’s?

+180 Law Co. LLC cool , so I'm going to start a llc, and use that for multiple businesses "holding" . Also what would be the "purpose" of my "holding" llc. Could I say it's a "holding" as a description when filing? My subsidiaries will have specific jobs like R and D/product development , auto repair, renting homes etc etc. I understand that I will need to start a llc for each home I will rent out for extra protection. My actual question is what would I say the "holding" is doing except being a "holding" and could I just say it's a holding. Btw thank you for the videos, you actually have instilled confidence in myself to do things that I have done sense i was a child. You are also teaching me how to do the things I thought to be impossible or unattainable.

Can you make a video on the topic of redemption? As it pertains to the strawman created at the birth of a human, in the U.S., the all caps version of your exact name. If redemption has been performed, would the redeemed strawman you're now controlling (instead of providing surety for) substitute LLC 1 for the umbrella structure? Hello. Could the BO own seperate LLCs to protect accets from a law suit. Like LLC1 money, LLC2 employees, LLC3 property rental contracts, LLC4 props. Say LLC3 property rental broke a 5 yr lease, could the landlord take your props, lights, costumes... because they belong to LLC4 props, not LLC3. Or can the lawsuit just name the BO and all the LLCs in the suit.

Aiden, your videos are very informative and helpful. I am based in NYC and my business is also based in NYC which is a clothing line (LLC-1). However, LLC-2 will be a health and beauty line for men and women, which I will hope to do an PLLC (medical facility) in connection to LLC-2. I would like to know with the examples you provided above should I do (LLC-1, LLC-2, & PLLC) it as an holding company, Sub-LLC, or an Parent- Sub Structures. Are should I just focus on making LLC 1/2 a holding company, sub-LLC, or an Parent-Sub Structure because the PLLC would be different.

Quick question though, say I wanted to run 3 or 4 restaurant concepts under one roof, all I would need to do is file the "DBA's ,correct? Would this be fine, and also, could they all be ran under one LLC without too much tax mess and liability issues?

You COULD do this, but whether it would be a good idea is a completely different issue. The biggest drawback is that the liability would be shared by all of the operations. If somebody gets food poisoning and dies from restaurant #1, the others would subject to any of that liability.

Can you structure sole proprietorships this same way (knowing the LLC protection won't be there) and still deduct separate expenses/equipment under each business (on paper - all will still be filed as my personal taxes)...like camera gear for a video biz, and music gear for a royalty free music biz, that supplies the other video biz....???

First, thank you for what you do. Second, I have a question and hope you can answer it. In your diagram you list LLC 2 and LLC 3 which are subsidiary LLC's to LLC 1 as you stated. When you form LLC 2 and LLC 3 as a single member LLC, do you have to list the single member of the LLC 2 and LLC 3 as the name of the LLC 1 or do you have to use your own personal name. I would assume you would use the name of the LLC 1 which would show that the LLC 1 is the Primary over the other LLC's. Is that correct?

Forming LLC-1 as the "holding company" and having LLC-2 and LLC-3 be owned by LLC-1 is one way of doing it. But wouldn't it be simpler if one still formed LLC-1 as the holding company and just registered LLC-2 and LLC-3 as DBAs under LLC-1? So for instance instead of having John Doe Holdings LLC as the holding company and have it own John Doe Computing LLC and John Doe Real Estate LLC (meaning he'd have to pay for and register three separate LLCs), he did John Doe Holdings LLC as the holding company and then registered two DBAs: "John Doe Holdings LLC d/b/a John Doe Computing" and "John Doe Holdings LLC d/b/a John Doe Real Estate" (meaning he'd only have to pay for and register one LLC)?

jalabi99 you *could* do it that way. But that totally eliminates the purpose of having a holding company. The purpose of the holding company is to keep your assets separate from your 2 other LLC's. DBA's have no separate liability from the original Holding company (LLC1). Yes it costs a few extra dollars to set up LLC2 and LLC3, but the purpose of that is if someone Sue's LLC2 or 3, your holding company can't be touched. If you set Up LLC2 or LLC3 as a DBA, all of your assets in your holding company (LLC1) are at risk.

Yes you could. But then you have no separate liability for LLC2 and LLC3. A lawsuit or huge loss from either one has the potential to take down the whole structure.

can subsidiary LLCs under the same umbrella interact with one another and have revenues converted into expenses with one or more of the others instead of having their revenues channeled into the parent organization and taxed as profits? ***I am NOT asking for a tax evasion loophole, I am asking because some business may find themselves in situations that threaten their corporate veil and transferring funds legitimately from one LLC to another need to maintain their paper trail instead of commingling the capital of the various subsidiaries.

Thanks so much, what a great video, question to have LLC 2 and 3 under LLC 1, does LLC 1 need to open LLC 2 and 3 or, just open 3 LLC's under B.O. And then do some paperwork to structure this properly. This is something fascinating to me, I guess if your planning to be successful with lots of income, then structuring your Business in this way would be a great idea
